Transaction Preparation

HTML provides a number of support services to Company Owners or Managers preparing for a transaction.

• We will review the balance sheet or balance sheets if there is more than one company and suggest if a restructuring or a refinancing may help present the business for sale in a more understandable format from a potential buyer's perspective.
• We will review the company financials and suggest if they may be better presented to raise the funds for an acquisition for example or to eliminate any non-recurring historic costs in the case of a disposal.
• Having looked at the business as a whole, we will suggest a range of housekeeping and commercial checks which, although individually trivial, do add up to paint a picture of a professional business professionally managed.
• We will NOT however artificially dress up a company or suggest contrived adjustments or restructuring whose only objective is to inflate the value of a business beyond its reasonable worth or to avoid proper taxation.
• We can provide a specimen Information Request covering all aspects of due diligence.
