- We provide a focussed package of services to UK family companies, engineering groups, banks and private equity houses and to US businesses contemplating a UK transaction or requiring senior corporate representation in the UK.
- We advise on all transaction types: mergers and acquisitions, company sales, management buy outs and management buy ins, restructuring and refinancing.
- We undertake financial and commercial due diligence, personnel and business process assessments, senior executive placements, interim placements, psychometric testing and interviewing of candidates.
- We investigate covenant breaches, suspected irregularities and performance failures.

We manage every aspect of our clients' transaction from concept to completion, we negotiate every document and every element of the transaction but our fees are substantially contingent upon completion. Our clients receive unlimited free advice until their transaction completes or until the end of the engagement.

![]() | Following his qualification as a Chartered Accountant with Coopers and Lybrand (now PriceWaterhouse Coopers) in 1984, Paul joined Sir Hugh Sykes at Thermal Scientific plc to assist with the flotation of Technical Component Industries in 1985. Having worked in subsidiaries and divisions of Technical Component Industries, Charles Baynes Group and Bromsgrove Industries, Paul led the £100m 3i-backed mbo of the medical devices and aerospace divisions of Bromsgrove Industries in 1999. Paul founded HTML in 2003 following the disposal of the US and UK medical devices businesses to Olympus Partners LLP of New York. Paul, an FCA, has completed numerous UK and US transactions and has received the prestigious CF accreditation from the Institute of Chartered Accountants in England and Wales. Aged 50, Paul is married with two young boys and is passionate about engineering transactions, classic cars and cricket. |

![]() | Martin Greenshields qualified with Thornton Baker (now Grant Thornton) in 1975 and then moved into industry in Sheffield. Following time in various accounting roles with Firth Vickers Special Steels Ltd and Padley & Venables Ltd he joined 3i in Sheffield. From 1983 until 2005 he was Finance Director of George H Cook & Co Ltd, a Stainless and Special Steels Stockholder. During that time he was involved in a number of acquisitions and a management buy in. After selling George H Cook to Cogne UK Ltd Martin supervised several engineering based acquisitions of various sizes before joining HTML as a Director in 2007. Aged 57, Martin is married with 2 adult daughters and lists golf and skiing as his main hobbies. |
Our Fees
At HTML we do recognise that our industrial roots do give us an advantage over many other corporate finance businesses. We are however prepared to back ourselves to successfully complete any transaction we take on.
For this reason, other than a modest engagement fee, all of our company acquisition and disposal fees are entirely contingent upon completion....
...but we do have to charge non-contingent fees for due diligence and for certain funding and restructuring engagements.
